This Agreement ("Agreement") sets the terms under which you ("Artist") receive creative, administrative, and operational services from TAPTAP Records ("Label Services", "Label", "RL", "we", "us").
You and the Label Service are each a "Party" and together the "Parties."
1. What You Receive from the Label
Through this Agreement, the Label provides creative and operational support for your project, which may include:
Core Services
- Delivery of your music to DSPs (Spotify, Apple Music, etc.)
- Royalty collection, accounting, and payouts
- Release coordination, metadata preparation, and catalog setup
- Artist onboarding and workflow setup
- Access to dashboards and analytics (via Strommar)
- Ability to request or purchase services from the marketplace (TPS + Internal Services)
- Creative or strategic guidance (via Strommar marketplace)
- Playlist recommendations or pitching (via Strommar marketplace)
- Marketing or promotional actions (via Strommar marketplace)
- TPS-based services (production, design, consulting, campaign work, via Strommar marketplace)
Important:
You do not have a "Label membership." Your operational access exists because you hold an active Strommar Artist Membership, which is purchased directly by you from Strommar and through your RL
2. Your Strommar Artist Membership
2.1 What It Is
- Artist account and platform access
- Distribution, operational, and reporting tools
- Access to TPS and Internal Services
- Protection via Strommar's continuity and reassignment system
2.2 Who Pays
You understand and agree that:
- You pay Strommar directly for your Artist Membership.
- Billing, taxes, renewals, and cancellations for this membership are handled exclusively between you and Strommar.
- The Label does not charge for, invoice, or process your Strommar membership.
2.3 Your Relationship with Strommar
To use the platform, you may need to accept Strommar's:
- Terms & Conditions (T&C)
- Privacy & Data Processing Policy
These govern your platform access only. They do not modify your creative relationship with the Label.
If you decline or withdraw consent where required, Strommar may suspend your platform access.
3. What the Label Is Responsible For
The Label is responsible for:
- Helping configure your artist account
- Uploading/distributing your releases (unless agreed otherwise)
- Coordinating campaigns or services purchased for you
- Managing your royalty accounting on the basis of Strommar's data
- Being your point of contact for operational and creative matters
4. Payments & Service Costs
4.1 Membership Fee
Your Strommar Artist Membership is:
- Paid directly to Strommar by you,
- Not billed or processed by the Label.
4.2 Additional Services
If the Label organizes paid services for you (TPS or Internal Services):
- You will always be informed before a purchase is made
- Costs may apply depending on the service
- The Label may apply additional fees or pricing for its own services (if agreed)
4.3 Chargebacks
- Chargebacks for valid payments are prohibited.
- If a chargeback is made and later reversed, any penalties or losses may be passed to you.
5. Royalties
You receive 100% of net royalties collected for your music.
Deductions may include:
- Distributor/aggregator fees
- Banking or currency exchange fees
- Applicable taxes
Strommar dashboards show operational numbers only. If there is a discrepancy, this Agreement prevails.
6. Creative Files & Copyright
- You must provide only rights-cleared content (music, artwork, samples).
- The Label may block or remove infringing content. Any penalties imposed by DSPs due to infringement or fraud may be passed to you.
7. Continuity of Service & Reassignment (Ecosystem Rule)
To protect your releases, royalties, and active services:
If the Label:
- Closes
- Becomes inactive
- Cannot continue managing your account
Then:
Priority 1 — Reassignment within the MC
Your account may be transferred to another Label in the same MC structure.
Priority 2 — Reassignment to a Transition Label
If internal reassignment is not available, Strommar may assign you to a Transition Label, whose role is only administrative:
- Not a manager or creative label
- Exists solely to keep services and royalty flows uninterrupted
You may choose your future creative direction freely once continuity is secured.
8. Ending the Agreement
By You
- You may end this Agreement at any time via written notice.
- Your Strommar membership will continue until its billing period ends (per Strommar's rules).
By the Label
The Label may terminate if you:
- Upload infringing or fraudulent content
- Engage in harmful or manipulative behavior
- Violate DSP policies or Strommar's T&C
- Provide false or misleading information
Upon termination:
- Your releases may be removed from Label-controlled channels
- Strommar continuity rules may still apply
9. Limitation of Liability
- Services are provided "as is."
- The Label's total liability is limited to the amount you paid to the Label in the six (6) months prior to any claim.
- Nothing in this section alters Strommar's own limitation of liability as defined in its T&C.
10. Acceptance of the Terms
The Artist declares that they have read, understood, and fully accepted the terms and conditions set forth in this Agreement.
Furthermore, the Artist acknowledges that continuing to use the services provided by TAPTAP Records, as well as requesting, activating, or benefiting from any of such services, constitutes an express and unconditional acceptance of all clauses contained herein, with the same legal effect as a handwritten signature.
If the Artist does not agree with any of the terms of this Agreement, they must refrain from continuing to use the services offered by TAPTAP Records and notify TAPTAP Records in writing as soon as possible.
